The Company represents and warrants to, and agrees with, each of the Underwriters that: To the extent that the Directed Shares are not orallyĬonfirmed for purchase by the Participants by the end of the first business day after the date of this Agreement, such Directed Shares may be offered to the public by the Underwriters as part of the public offering contemplated hereby.ġ. The Directed Share Program shall be administered by Fidelity Capital Markets, a division of National Financial Services LLC (∿idelity), and the Directed Shares will be sold by Fidelity, at the direction of the Company, at the public offering price.

The Representatives agree that up to shares of the Firm Shares to be purchased by the Underwriters (the ∽irected Shares) shall be reserved for sale to certain of our employees and their friends and family and certain of our suppliers and vendors (collectively, the Participants), as set forth in the Prospectus under the heading Underwriting (the ∽irected Share Program). LLC are acting as representatives (the Representatives), an aggregate of shares (the ∿irm Shares) and, at the election of the Underwriters, up to additional shares (the Optional Shares) of Class A Common Stock, par value $0.0001 per share (Stock), of the Company (the Firm Shares and the Optional Shares that the Underwriters elect to purchase pursuant to Section 2 hereof being collectively called the Shares). As representatives of the several Underwritersīlue Apron Holdings, Inc., a Delaware corporation (the ∼ompany), proposes, subject to the terms and conditions stated in this agreement (this ∺greement), to issue and sell to the Underwriters named in Schedule I hereto (the Underwriters), for whom Goldman Sachs & Co.
